1. GENERAL PROVISIONS

1.1. These Terms and Conditions of Sale (hereinafter referred to as the “Terms”) govern the mutual rights, obligations and liabilities between the person purchasing goods (hereinafter referred to as the “Buyer”) through the online store alwark.lt (hereinafter referred to as the “Online Store”), owned and administered by ALWARK UAB, legal entity code 300638080, registered office at Ukmergės g. 451, Klevinė, LT-14199 Vilnius District, Lithuania, telephone +370 5 264 6330, e-mail [email protected], whose data are collected and stored in the Register of Legal Entities of the Republic of Lithuania (hereinafter referred to as the “Seller”), and the person placing the order (hereinafter referred to as the “Buyer”).

1.2. Buyers may include both natural and legal persons purchasing goods for purposes related to their business, trade, craft or profession (the “Business Buyer”), as well as natural persons purchasing and using goods for personal, family or household purposes unrelated to any business, trade, craft or profession (the “Consumer Buyer”).

1.3. The Seller is an authorised distributor of products manufactured by various manufacturers. The Seller is not the manufacturer of the goods. The goods are covered by the warranties and are subject to the return and exchange conditions established by the respective manufacturers, which may vary depending on the manufacturer and the type of product. The warranty conditions and the return and exchange procedure applicable to a specific product are indicated in the product description or supplied together with the product.

1.4. Any matters not expressly regulated by these Terms shall be governed by the applicable laws of the Republic of Lithuania.

1.5. Before making a purchase in the Online Store, Buyers must carefully read these Terms. When placing goods into the shopping cart, Buyers must confirm that they have read, understood and accepted these Terms and undertake to comply with them. If a Buyer does not agree with these Terms, the Buyer shall not be entitled to proceed with placing an order in the Online Store.

1.6. Before selecting goods, placing an order or otherwise using the Online Store, the Buyer must also read the Online Store’s Privacy Policy. Personal data provided by the Buyer during the purchase process shall be processed for the purposes and in accordance with the procedures set out in the Privacy Policy.

1.7. All information published on the website, including texts, design elements, logos, trademarks, photographs, audio and video materials, is the property of the Seller, the manufacturers or their respective partners and is protected by copyright and other intellectual property laws. Such content may only be used to the extent necessary for the use of the website and its services. Any use of the website content for commercial or public purposes, including its modification, reproduction, distribution or other processing, without the Seller’s prior written consent, is strictly prohibited.

2. CONCLUSION OF THE PURCHASE AND SALE AGREEMENT

2.1. A separate Purchase and Sale Agreement shall be concluded for each order placed by the Buyer.

2.2. The Purchase and Sale Agreement shall be deemed concluded from the moment the Buyer, following the Seller’s instructions in the Online Store, selects the desired product, places it in the shopping cart, provides the information required for delivery, selects the preferred delivery method, enters any other necessary information, reviews the Seller’s Terms and Privacy Policy, and confirms the order. The Seller shall commence processing the Buyer’s order only after receiving confirmation of payment.

2.3. The Online Store shall send the Buyer a confirmation of the concluded Purchase and Sale Agreement to the e-mail address provided by the Buyer no later than the date of delivery of the goods. Each order placed by the Buyer shall be stored in the Online Store and in the Seller’s database in accordance with the procedures set out in the Privacy Policy.

2.4. The Seller shall have the right to refuse to confirm the Buyer’s order or to unilaterally terminate the concluded Purchase and Sale Agreement only on objectively justified grounds, including, but not limited to, where the goods are no longer available in the Seller’s or supplier’s stock, the Buyer fails to make payment within the prescribed period, provides inaccurate or incomplete delivery information or fails to confirm such information, or does not meet the statutory requirements applicable to the purchase, including age restrictions. In such cases, the Seller shall refund all amounts paid by the Buyer using the same payment method originally used, without undue delay and no later than within five (5) business days from the date of the relevant decision.

2.5. Where the Buyer contacts the representatives or sales managers of the Online Store directly and, having received an individual offer, accepts it by making payment for the remote purchase of goods and confirms that they have read and accepted these Terms, all provisions of these Terms shall apply to such transaction.

2.6. The Buyer shall be solely responsible for the accuracy and completeness of the information provided during registration and/or in the order form. The Buyer shall not be entitled to bring any claims against the Seller regarding delivery to an incorrect recipient where such delivery resulted from incorrect delivery details and/or inaccurate contact information provided by the Buyer.

2.7. The Buyer shall not disclose or transfer to any third party the order number, order documents, Online Store password, or any other information that would enable a third party to collect the goods on the Buyer’s behalf without the Buyer’s knowledge and consent.

2.8. The Buyer shall be fully responsible for all actions performed while using the Online Store. The Buyer shall not use the Online Store in any manner that may compromise its proper operation, security or integrity, or otherwise restrict or interfere with other users’ ability to access and use the Online Store.

2.9. If the Seller does not receive confirmation of payment within two (2) business days from the date the order is placed, the order shall be deemed unconfirmed and shall be cancelled automatically. The Buyer shall be notified of the cancellation by e-mail or through the Online Store system. In such case, the order shall not be deemed to constitute a concluded Purchase and Sale Agreement, and any reservation of the goods shall automatically expire.

3.2. The Seller shall send the order confirmation and the VAT invoice to the e-mail address specified in the Buyer’s account or order form. The VAT invoice shall be issued on the date the goods are handed over to the courier or collected by the Buyer, depending on the selected delivery method, and shall be sent no later than five (5) business days thereafter. Where applicable, the Buyer may also receive additional information relating to the use of the goods, including user instructions in the Lithuanian language.

3.3. If the Buyer has added goods to the shopping cart but has not yet submitted the order and the price of the goods changes before the order is placed, the Buyer shall pay the price applicable at the time the order is submitted. If the Buyer does not accept the revised price, the Buyer shall have the right not to proceed with the purchase.

3.4. A Consumer Buyer shall have the right to withdraw from a Purchase and Sale Agreement concluded through the Online Store without giving any reason by notifying the Seller in writing via e-mail before the delivery date of the goods or within fourteen (14) calendar days from the date of delivery of conforming goods, provided that the Consumer Buyer bears the direct costs of returning the goods. Business Buyers shall not have such right unless it is expressly granted. Certain manufacturers may apply their own return conditions, which shall be specified in the product description or provided together with the product.

3.5. Upon receipt of conforming goods returned in accordance with these Terms, the Seller shall refund all amounts paid by the Buyer no later than fourteen (14) calendar days from the date on which the Seller receives the Buyer’s notice of withdrawal. The Seller shall be entitled to withhold the refund until the returned goods have been received or until the Buyer provides satisfactory evidence that the goods have been dispatched for return, whichever occurs first.

3.6. Consumer Buyers may exchange goods only by exercising their statutory right of withdrawal within fourteen (14) days or where the goods are defective. A Buyer who has purchased defective goods shall have the rights provided for in Articles 6.364¹, 6.364² and 6.364³ of the Civil Code of the Republic of Lithuania and other applicable legislation. Business Buyers shall not have any statutory right of exchange unless otherwise agreed. Certain manufacturers may apply specific exchange conditions. The availability and conditions of exchange for a particular product shall be indicated in the product description or supplied together with the product.

3.7. The Buyer undertakes to inspect the goods upon receipt and verify that they conform to the required quality standards. The Buyer shall promptly notify the Seller of any quality defects that could not reasonably have been identified at the time of delivery, providing a description of the defects together with supporting photographs. The Buyer shall also notify the Seller of any damage to the shipment, visible defects, incorrect model or incomplete delivery no later than two (2) business days from the date of receipt of the goods, accompanied by a description of the defects and supporting photographs.

3.8. A Buyer may be a person established in any country; however, delivery of goods is available only within the territory of the Republic of Lithuania.

3.9. The Buyer acknowledges and undertakes that:

3.9.1. the purchased goods shall be used solely for lawful purposes and in compliance with all applicable sanctions regimes and legal requirements of the European Union and the Republic of Lithuania;

3.9.2. the purchased goods shall not be used in violation of sanctions, nor sold, transferred, exported or otherwise supplied, whether directly or indirectly, together with the Seller’s trademarks, to sanctioned or hostile countries, nor used for any activity that would breach applicable European Union or Lithuanian sanctions regimes or international trade restrictions;

3.9.3. the purchased goods shall not be used for smuggling, unlawful trade or any other illegal activities, nor shall the Buyer engage in any conduct that could damage the Seller’s reputation or result in the unlawful use of the Seller’s trademark, logo or other intellectual property;

3.9.4. in the event of any breach of the above obligations, the Buyer shall bear full civil, administrative and criminal liability arising from such breach.

4. SELLER’S RIGHTS AND OBLIGATIONS

4.1. The Seller reserves the right to amend these Terms at any time. Any amendments or supplements to the Terms shall be published in the Online Store. Such amendments shall become effective upon publication and shall apply to all Purchase and Sale Agreements concluded thereafter. Orders placed before the effective date of any amendments shall continue to be governed by the version of the Terms in force at the time the order was placed.

4.2. If the Buyer attempts to compromise the operation, stability or security of the Online Store or otherwise breaches these Terms, the Seller shall be entitled, without prior notice, to restrict or suspend the Buyer’s access to the Online Store or to terminate the Buyer’s registration. The Buyer shall be informed of such action within two (2) business days.

4.3. The Seller may contact the Buyer using the telephone number or e-mail address provided in the Buyer’s account in order to resolve issues related to the Buyer’s use of the Online Store or to provide information regarding the processing and fulfilment of the Buyer’s order(s). All notices between the parties shall be sent to the e-mail address provided by the Buyer during registration or when placing an order.

4.4. The Seller may assign any of its rights and obligations arising under these Terms to a third party, provided that notice of such assignment is published in the Online Store at least fourteen (14) calendar days in advance.

4.5. The Seller undertakes to ensure that the Buyer is able to use the services provided through the Online Store properly and without undue interference.

4.6. The Seller undertakes to respect the Buyer’s privacy and to protect the confidentiality of the Buyer’s personal data in accordance with applicable legislation and the Privacy Policy.

4.7. The availability of goods is limited. Products displayed in the Online Store are held either in the Seller’s warehouse or in the warehouses of its suppliers. If an ordered product is no longer available, the Buyer shall be informed without undue delay by e-mail or by other means (including telephone call and/or SMS), and fulfilment of that part of the order shall be cancelled. The Seller may offer the Buyer an equivalent product; however, the Buyer shall have the right to refuse such offer. In such case, the Seller shall refund all amounts due to the Buyer within five (5) business days from the date on which the obligation to refund arises.

4.8. The Seller shall not be liable for delays in delivery or any resulting misunderstandings where such delays or misunderstandings arise from inaccurate or incomplete information provided by the Buyer when placing the order.

4.9. The Online Store may contain links to websites operated by third-party service providers, manufacturers or business partners. The Seller shall not be responsible for the content of such websites or the legality of the services provided through them, except where the Seller knowingly provides links to misleading or unlawful content. Product images displayed in the Online Store are for illustrative purposes only. The actual colour, appearance or other characteristics of the products may differ slightly due to device display settings or materials supplied by the manufacturer; however, the essential characteristics of the products shall always correspond to their descriptions. The product packaging shown in the Online Store may also differ from the packaging supplied with the product.

5. PRICES, PAYMENT AND DELIVERY

5.1. Depending on the Buyer’s selection, the prices of the goods displayed in the Online Store and in the order summary shall be indicated in euros either inclusive or exclusive of Value Added Tax (VAT). Goods shall be sold at the prices applicable in the Online Store at the time the order is placed. The final purchase price and the total amount payable shall be displayed to the Buyer before the order is confirmed. If the Buyer does not agree with the applicable price, the Buyer shall not proceed with the order.

5.2. The Seller reserves the right to amend the prices of goods offered in the Online Store at any time due to changes in market conditions, manufacturers’ pricing, or other objectively justified circumstances. If the Buyer has added goods to the shopping cart but has not yet submitted the order, and the price changes before the order is placed, the Buyer shall pay the price valid at the time of submitting the order. If the Buyer does not accept the revised price, the Buyer may discontinue the purchase.

5.3. The Buyer may pay for the goods using one of the following payment methods:

5.3.1. Advance bank transfer – payment made in advance using the Buyer’s online banking service. The Buyer transfers the payment to the Seller’s bank account on the basis of the advance invoice. Responsibility for the security of payment data rests with the relevant bank, as all financial transactions are processed through the bank’s online banking system.

5.3.2. Advance payment via an electronic payment initiation service provider – payment through direct online payment links provided by major Lithuanian banks. Responsibility for the security of payment data rests with the payment service provider and the relevant bank.

5.3.3. Any other payment methods made available in the Online Store.

5.4. The Seller shall commence processing and fulfilling the Buyer’s order only after receiving full payment for the goods. The delivery period shall begin to run only upon receipt of confirmation of the Buyer’s payment.

5.5. Goods shall be delivered to the Buyer via parcel lockers, courier services or any other delivery methods offered in the Online Store.

5.6. The Buyer shall select the preferred delivery method from the options available in the Online Store. Delivery charges shall be determined based on the delivery location, the value of the order and the size of the goods.

5.7. The Seller shall deliver the goods within the delivery period specified in the relevant product description and, in any event, no later than thirty (30) calendar days from the date the order is confirmed, unless otherwise agreed by the parties. Where the delivery period is extended due to objective circumstances beyond the Seller’s reasonable control (including, without limitation, supply chain disruptions, manufacturer delays, logistics delays or similar events), the Seller shall promptly inform the Buyer and propose a revised delivery date. If the Buyer does not accept the revised delivery date, the Seller shall refund all amounts paid by the Buyer without undue delay and no later than fourteen (14) calendar days from the date the Buyer rejects the proposed delivery date.

5.8. If delivery of the ordered goods cannot be completed after two delivery attempts due to reasons attributable to the Buyer, the goods shall be returned to the Seller, the order shall be cancelled, and the Buyer shall not be entitled to a refund of the amounts paid for the goods or the delivery charges.

6. PRODUCT QUALITY AND WARRANTY

6.1. The statutory two-year legal guarantee shall apply automatically only to Consumer Buyers. In transactions with Business Buyers, only the warranty conditions expressly provided by the manufacturer or set out in these Terms shall apply. The Buyer acknowledges and agrees that different manufacturers may provide different warranty conditions for their products.

6.2. Warranty service shall be provided at the location designated by the manufacturer. The applicable warranty service location and procedure shall be specified in the product description or in the manufacturer’s warranty terms.

6.3. If the Buyer receives goods that do not conform to the required quality standards, the Buyer shall have the right to submit a claim to the Seller by e-mail at [email protected]. The Buyer shall specify the order number, provide a description of the defect(s), submit photographs or other evidence demonstrating the non-conformity of the goods, and provide proof of purchase.

6.4. The Seller undertakes to respond to the Buyer’s claim within a reasonable period, but in any event no later than fourteen (14) calendar days from the date the claim is received.

6.5. Where provided for under the manufacturer’s warranty conditions, the Buyer may be referred directly to the manufacturer’s authorised service centre or authorised representative. In such cases, the Seller shall assist the Buyer in contacting the manufacturer and provide all necessary information.

6.6. Products manufactured to the Buyer’s individual specifications, customised products, or products imported under a special order may be subject to specific warranty conditions. The Buyer shall be informed of such conditions before placing the order.

7. LIABILITY

7.1. Where loss or damage arises, the party at fault shall compensate the other party for its direct losses, unless otherwise provided by applicable law.

7.2. The Seller shall not be liable for any failure to perform the Purchase and Sale Agreement or for any non-delivery or delayed delivery of goods where such failure or delay is caused by third parties (including manufacturers, suppliers or carriers) or by circumstances beyond the Seller’s reasonable control which could not reasonably have been foreseen at the time of concluding the Purchase and Sale Agreement and whose occurrence or consequences could not have been prevented (force majeure). If such circumstances continue for more than one (1) month, the parties may terminate the Purchase and Sale Agreement by mutual agreement.

7.3. As an authorised distributor, the Seller shall not be liable for:

7.3.1. the content of the manufacturer’s warranty, return or exchange conditions. However, the Seller undertakes to inform the Buyer of such conditions and to assist the Buyer in exercising the rights arising therefrom.

7.3.2. any unauthorised use by third parties, including Buyers, of the Seller’s trademarks, logos or other distinguishing marks on products or their packaging. If products bearing the Seller’s trademark or logo are found to have been used in illegal transportation, smuggling or any other unlawful activity, the Seller shall not be liable for such actions of third parties unless it is proven that the Seller directly participated in or had prior knowledge of such unlawful activity.

7.3.3. the Buyer’s use of the purchased goods in breach of European Union or Republic of Lithuania sanctions regimes, international trade restrictions or other applicable legislation. The Buyer shall bear full responsibility for any such use.

7.3.4. products bearing the Seller’s trademarks being transported, exported or otherwise supplied to sanctioned or hostile countries where such actions have been organised by the Buyer or third parties without the Seller’s knowledge or consent after the goods have been delivered to the Buyer or the Buyer’s authorised representative.

8. FINAL PROVISIONS

8.1. Any disputes arising between the Buyer and the Seller shall first be resolved through negotiations. If the parties fail to settle the dispute amicably, it shall be finally resolved in accordance with the laws of the Republic of Lithuania.

8.2. A Buyer who believes that their rights have been infringed may submit a complaint to the Seller by e-mail at [email protected]. The Seller shall provide a written response within fourteen (14) calendar days from the date the complaint is received.

8.3. If a dispute cannot be resolved through negotiations, the Buyer shall have the right to refer the matter to the competent consumer protection authorities and/or the courts.

Consumer Buyers may submit a complaint to the State Consumer Rights Protection Authority of the Republic of Lithuania (Vilniaus g. 25, LT-01402 Vilnius, Lithuania, e-mail: [email protected], website: www.vvtat.lt).

The Buyer may also submit a complaint through the European Online Dispute Resolution (ODR) Platform available at https://ec.europa.eu/odr.

8.4. The Seller is committed to ensuring that the Online Store and the services provided through it are accessible to all users, including persons with disabilities, in accordance with the requirements of the Law on the Accessibility Requirements for Products and Services of the Republic of Lithuania. If the Buyer identifies any accessibility issues, they are encouraged to notify the Seller by e-mail at [email protected].
